Terms of Service

Welcome to RendezU ShoreTimer. These Terms of Service ("Terms") govern your use of the RendezU ShoreTimer mobile application ("App", "Service") operated by RendezU ("Company", "we", "us", or "our").

By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App.

1. Description of Service

RendezU ShoreTimer is a mobile application designed to help cruise passengers track time during shore excursions. The App provides:

• Countdown timers to your ship's All-Aboard time
• GPS-based distance tracking from your ship
• Meeting point timers for group activities
• Information storage (emergency contacts, ship details)
• Smart notifications and alerts

2. Acceptance of Terms

By using ShoreTimer, you confirm that:

• You are at least 13 years of age (or the minimum age in your jurisdiction)
• You have the legal capacity to enter into a binding agreement
• You will use the App in compliance with these Terms and applicable laws
• You understand the App is a tool to assist you, not guarantee your timely return

3. User Accounts

3.1 Account Creation

Creating an account is optional. You may use the App's core features without an account. If you choose to create an account:

• You must provide accurate and complete information
• You are responsible for maintaining the security of your account
• You must notify us immediately of any unauthorized access
• You are responsible for all activities under your account

3.2 Account Termination

You may delete your account at any time through the App's settings. We may suspend or terminate your account if you violate these Terms.

4. Subscriptions and Payments

4.1 Free Features

The App offers one free shore excursion session to all users. This allows you to experience all features without payment.

4.2 PRO Subscription

After your free session, continued use requires a PRO subscription. Subscriptions are available as:

• Monthly subscription
• Annual subscription (includes 3-day free trial)

4.3 Payment Terms

• Payments are processed through the Apple App Store or Google Play Store
• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current period
• You can manage and cancel subscriptions through your device's app store settings
• Prices may vary by region and are subject to change with notice

4.4 Refunds

Refund requests are handled by Apple or Google according to their respective policies. We do not process refunds directly.

5. Acceptable Use

You agree NOT to:

• Use the App for any illegal purpose
• Attempt to gain unauthorized access to the App or its systems
• Reverse engineer, decompile, or disassemble the App
• Remove or alter any proprietary notices or labels
• Use the App to transmit malware or harmful code
• Interfere with the proper functioning of the App
• Abuse the free trial system by creating multiple accounts or reinstalling the App
• Share your subscription with others
• Use automated systems to access the App

6. Intellectual Property

6.1 Our Rights

The App, including its design, features, content, and code, is owned by RendezU and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the App without our written permission.

6.2 Your Content

You retain ownership of any content you create in the App (notes, contacts, etc.). By using the App, you grant us a limited license to store and process this content solely to provide the Service.

7. Privacy

Your privacy is important to us. Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.

8. Location Services

8.1 GPS Functionality

The App uses your device's GPS to provide location-based features. You acknowledge that:

• GPS accuracy depends on your device, environment, and satellite availability
• Location data may be inaccurate in certain conditions (indoors, urban canyons, etc.)
• Distance and travel time calculations are estimates only
• You should not rely solely on GPS data for critical timing decisions

8.2 Offline Functionality

While the App is designed to work offline, certain features require an internet connection or GPS signal. You are responsible for ensuring adequate connectivity when needed.

9. Disclaimers

9.1 "As Is" Service

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY
• UNINTERRUPTED OR ERROR-FREE OPERATION

9.2 Third-Party Services

The App integrates with third-party services (maps, payment processors, etc.). We are not responsible for the availability, accuracy, or reliability of these services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• WE SHALL NOT BE LIABLE FOR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL
• WE SHALL NOT BE LIABLE FOR DAMAGES ARISING FROM MISSED SHIPS, TRAVEL DELAYS, OR SIMILAR SITUATIONS
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE 12 MONTHS PRIOR TO THE CLAIM

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless RendezU, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the App

12. Modifications

12.1 To the App

We may modify, update, or discontinue the App or any features at any time. We will endeavor to provide notice of significant changes but are not obligated to do so.

12.2 To These Terms

We may update these Terms from time to time. We will notify you of material changes by updating the "Last Updated" date and, for significant changes, through in-app notification. Continued use after changes constitutes acceptance of the new Terms.

13. Termination

We may terminate or suspend your access to the App at any time, with or without cause, with or without notice. Upon termination:

• Your right to use the App ceases immediately
• We may delete your data (unless required to retain it by law)
• Provisions that should survive termination will remain in effect

14. Governing Law and Disputes

14.1 Governing Law

These Terms are governed by the laws of Australia, without regard to conflict of law principles.

14.2 Dispute Resolution

Before initiating any legal proceeding, you agree to contact us and attempt to resolve the dispute informally. If we cannot resolve the dispute within 30 days, either party may proceed with formal dispute resolution.

14.3 Jurisdiction

Any legal proceedings shall be brought in the courts of Australia, and you consent to the jurisdiction of such courts.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RendezU regarding the App.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor.

15.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.
